Results

Subcontractor Arbitration Win
Two-day arbitration. Represented glass and glazing subcontractor faced with delay claims from a general contractor. Arbitrated to final award. Recovered full damages, plus attorneys’ fees, on counterclaim for the subcontractor, defeating the general contractor’s claims.
Residential Builder Defense
Five-day arbitration on behalf of a large residential builder. Successfully defended client against claims totaling almost $1M for mold damages. After settling with third-party defendants, Claimant recovered less than the client received in settlements from those parties, recovering only about 5% of the damages sought.
Mold Damage
Successful prosecution of claims for mold damage on behalf of a townhome owner. One day arbitration resulted in a final award for client of over $200,000. Settled with other defendant for over $150,000, for a total award of over $350,000. Entered as final judgment in Wallace v; Omnibuild et al., Cause No. DC-19-14668, Dallas County.
$2.5MM Services Business Sale
Represented the seller in the sale of a closely held services business to a nationally recognized private equity group, with total compensation to seller of approximately $2.5MM, including negotiation of an asset purchase agreement, post-closing consulting agreement, post-closing real estate lease, and other ancillary documents.
$5MM Shareholder Departure Negotiation
Represented a founding shareholder of a corporation in negotiating a departure from the corporation, with total payment to shareholder of approximately $5MM, including negotiating a stock redemption agreement, employment separation agreement, and other ancillary agreement.
$600K Ownership Buyout Resolution
Represented the departing owner of a company in the sale of a 50% ownership interest in the company to the other 50% co-owner of the company, as an amicable resolution to disputes between the partners, with a purchase price of approximately $600K, including negotiating a membership interest purchase agreement, financing documents, and other ancillary documents.
$4.95MM Stock Redemption & Restructuring
Represented a closely held corporation in negotiating a stock redemption agreement with a purchase price of $4.95MM and ownership restructuring with shareholders, including amending the certificate of formation and bylaws, preparing a new buy-sell agreement, and financing documents in connection with the stock redemption.
Business Dispute Defense
Bench trial. Successful defense of claims in a business dispute among partners, spanning multiple businesses and projects over eight years. Client was sued for over $500,000. Plaintiff recovered $0 and was forced to pay our client for items taken from the business. Reagan Stricklin v. Coy Cleveland, Cause No. 1-23-1710, Rockwall County (Presiding Judge: Hon. David Rakow).
